To open a representative office
Foreign legal entities have the right to open representative and branch offices in the RF either when they have only just been incorporated or during their activities. The necessity to open a representative office of the foreign company is connected with exchange of economic, commercial, scientific and technical information, development of connections with Russian partner organizations. As a rule, the decision to open a representative office abroad is made by the head company in order to widen its clientele.
It is rather difficult to open a representative or branch office in the Russian Federation. A representative office of a foreign company acting on behalf of the head company carries out its activities in accordance with current Russian legislation. Activities of representative offices are regulated by Resolution, confirmed by the Soviet of Ministers of USSR dated November 30th 1989 ¹ 1074 “On the assertion of the Regulations of the procedure of opening and business activities of representative offices of foreign companies, banks and organizations in USSR”.
It is possible to open a representative office in the RF only with permission of the accredited body (State Registration Chamber or Chamber of Commerce and Industry of the RF). After permission to open a representative office has been received the representative office should be incorporated in the “Unified State Register of Representative Offices of Foreign Companies accredited in the RF”. To open a representative office is possible for 1, 2 or 3 years, and if needed the representative office of the foreign company can extend the validity period of accreditation.
After the accreditation procedure has been fulfilled the representative office of the foreign company within 30 days should prepare and register the company stamp, open a bank account, register with the tax office, receive information letter with statistic codes, register with Pension Fund, Compulsory Medical Insurance Fund, Social Security System.
